Section 01
1. Agreement & Acceptance of Terms
By deploying, accessing, or utilizing the RockLyzor industrial SCADA and energy intelligence platform, you and the business entity you represent ("Customer") agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a manufacturing enterprise, utility, or industrial facility, you confirm you have full legal authority to bind that entity.

2. Software License Grant & Permitted Usage
Subject to the terms of your commercial order form or license key, RockLyzor grants you a non-exclusive, non-transferable license to install, execute, and display the software on authorized industrial servers, edge controllers, and client viewing terminals within your facility.
Permitted Industrial Applications:
Real-time factory equipment and machine telemetry supervision.
High-voltage / low-voltage electrical energy metering and power quality analytics.
Industrial synoptic process mimic screens and annunciator panels.
Internal historian logging and maintenance predictive analysis.
RockLyzor is an operational intelligence, visualization, and supervisory software suite. It is NOT a safety-instrumented system (SIS) and is NOT designed to serve as an emergency shutdown (ESD) mechanism or life-safety interlock.
All plant installations must retain independent, hard-wired physical emergency stops, mechanical relief valves, and certified safety PLCs in compliance with ISO 13849 / IEC 61508. Customer acknowledges sole responsibility for plant-floor physical safety.

4. Intellectual Property Rights & Customer Data Ownership
Customer Ownership: You retain complete, unencumbered ownership of all operational data, sensor logs, energy reports, synoptic diagrams, and machine telemetry generated by your plant. RockLyzor asserts no ownership over your factory datasets.
Platform IP: RockLyzor retains all right, title, and interest in and to the software, source code, UI components, industrial protocol drivers, algorithms, and documentation. You may not reverse-engineer, decompile, or create unauthorized derivative works of the platform binaries.

5. Software Updates, Driver Compatibility & Support SLA
Active subscription or software assurance agreements entitle your engineering team to:
Regular stability updates and security patches for edge collectors and web dashboards.
Technical engineering support with guaranteed response times defined in your tier SLA.
Section 06
6. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall RockLyzor or its suppliers be liable for any indirect, incidental, punitive, or consequential damages, including loss of production, plant downtime, machine damage, or loss of profits arising out of the use or inability to use the platform.
RockLyzor's total cumulative liability under any claim arising from this agreement shall be strictly capped at the total amount actually paid by Customer to RockLyzor during the twelve (12) months immediately preceding the event giving rise to liability.
Section 07
7. Term, Renewal & Termination
Subscription licenses renew according to the billing cycle outlined in your commercial order. Perpetual licenses remain valid indefinitely for the deployed major version. Upon termination of a subscription agreement, your license to receive software updates and cloud sync features ceases, while historical data stored on your local database remains under your full custody.

8. Governing Law & Dispute Resolution
These terms shall be governed by and construed in accordance with commercial laws applicable to enterprise software contracts. Any legal dispute or controversy shall be resolved through good-faith commercial negotiation, followed if necessary by competent commercial arbitration.
